Legal Entity Recognition

Legal Entity Recognition identifies the jurisdiction-dependent status under which an Organization is recognized as a Legal Entity.

An Organization exists independently of a particular Legal Entity Recognition. Recognition under the laws of a Jurisdiction establishes the legal personality, rights, obligations, and capacity applicable to the Organization within that Jurisdiction.

Legal Entity Recognition may identify:

  • The recognized Organization
  • The applicable Jurisdiction
  • The legal form
  • The legal basis for recognition
  • The recognizing authority
  • The applicable registry
  • The registration or incorporation Identifier
  • The recognition status

An Organization may have more than one Legal Entity Recognition when more than one Jurisdiction recognizes the Organization. Each recognition remains associated with its applicable Jurisdiction, legal basis, status, and Effective Period.

Legal Entity Recognition remains distinct from the Organization's Identity. Creating, modifying, suspending, revoking, or ending a Legal Entity Recognition does not, by itself, create, replace, or remove the Organization.

Legal Entity Recognition also remains distinct from Party Kind, Organization Classification, and Role:

  • Organization identifies the Party Kind
  • Organization Classification describes the nature, function, authority, or regulatory classification of the Organization
  • Legal Entity Recognition identifies jurisdiction-dependent legal status
  • Role identifies how the Organization participates in a specified context

Adapted from:

This corpus defines the expression Legal Entity Recognition. The referenced sources define Legal Entity, Legal Person, Jurisdiction, and recognition relationships but do not define a concept having this exact name.

  • Legal Entity Recognition applies to an Organization
  • Legal Entity Recognition does not define an additional Party Kind
  • An Organization may have more than one Legal Entity Recognition
  • Each Legal Entity Recognition applies within a specified Jurisdiction
  • Each Legal Entity Recognition may have an Effective Period
  • A Legal Entity Recognition may have a current, suspended, revoked, expired, dissolved, or other defined status
  • Ending a Legal Entity Recognition does not automatically remove the Organization
  • A change in Legal Entity Recognition does not automatically change Organization Identity
  • A Legal Entity Identifier may identify a Legal Entity but does not constitute Legal Entity Recognition
  • Registration, incorporation, charter, statute, decree, or another legal instrument may provide Evidence supporting Legal Entity Recognition
  • The Information Model records information concerning recognition but does not independently determine whether a Jurisdiction legally recognizes an Organization
  • The platform-independent definition does not require a particular database, registry, identifier scheme, serialization format, or implementation technology

Example Bank is an Organization incorporated under the laws of Jurisdiction A.

The applicable Legal Entity Recognition identifies:

  • Example Bank as the recognized Organization
  • Jurisdiction A as the applicable Jurisdiction
  • Corporation as the legal form
  • The incorporation statute as the legal basis
  • The applicable registration authority
  • The registration Identifier
  • Active as the recognition status
  • The date of incorporation as the beginning of the Effective Period
  • The incorporation record as supporting Evidence

Example: Bank later receives recognition in Jurisdiction B. The Information Model records a separate Legal Entity Recognition for Jurisdiction B.

Both Legal Entity Recognitions refer to the same Organization. They do not create two Organizations or two Party Identities.
